Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On August 16, 2007, Russell M. Gertmenian notified the Board of Directors (the “Board”) of AirNet Systems, Inc. (the “Company”) of his resignation from the Board effective on August 17, 2007. Mr. Gertmenian, who had been a member of the Board since the Company’s initial public offering in 1996, cited the increased demands on his time since he became managing partner of his law firm — Vorys, Sater, Seymour and Pease LLP — as the reason for his decision.
